That's XP. SP2, I think.
What I did was take all the icons off my desktop and hide the taskbar. Then, I run ObjectDock (Although I hear RocketDock works fine too) and RainMeter (Which is the clock/system-usage/winamp control).

I installed rocketdock actually. the only thing i don't like about it is that it doesn't "stop" other windows. For example it might be always ontop, however the bottom of windows ( like the status bar) goes directly to the bottom. I would rather have the vista sidebar effect where it "cuts off" that part of your screen so full sized windows dont go past it ( like the standard windows toolbar )

Unfortunately, ObjectDock doesn't "stop" windows either. It's gotten sort of annoying, and I've had to start using autohide for the dock, something I normally didn't do for the taskbar.
